Welcome to Avenue Ticketing, Inc. ("Avenue," "we," "us," or "our"). Avenue Ticketing, Inc. is a Delaware C Corporation that provides an online ticketing and event management platform through our website avenueticket.com, organizer tools, embedded checkout experiences, and related mobile applications (collectively, the "Services").
These Terms of Service ("Terms") govern your access to and use of our Services, whether you are an event organizer ("Organizer"), event attendee or ticket buyer ("Consumer" or "Attendee"), or any other user ("User").
BY CLICKING "AGREE" WHEN CREATING AN ACCOUNT OR LOGGING IN, BY COMPLETING A TICKET PURCHASE (INCLUDING GUEST CHECKOUT), OR BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY (INCORPORATED HEREIN BY REFERENCE). YOU REPRESENT THAT YOU ARE OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT AND, IF ACTING ON BEHALF OF AN ENTITY, THAT YOU HAVE THE AUTHORITY AND LEGAL COMPETENCY TO BIND THAT ENTITY. IF YOU DO NOT AGREE WITH THESE TERMS, PLEASE DO NOT USE OUR SERVICES.
1. Acceptance of Terms
1.1 Agreement
By accessing, browsing, or using the Services, by clicking "Agree" when prompted, or by completing a purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you accept these Terms on behalf of an entity, you represent that you have authority to bind that entity.
1.2 Modifications
We may modify or update these Terms at any time. Material changes will be posted on our website with an updated "Last Modified" date, and we may provide additional notice (for example, by email to the address associated with your Account). Your continued use of the Services after such modifications constitutes acceptance of the revised Terms. Updated Terms do not apply retroactively and will specify their effective date.
2. Description of the Services
2.1 Overview
Avenue provides an end-to-end ticketing and event management platform. Our Services allow Organizers to create, promote, and sell tickets for events and enable Consumers to discover events, purchase tickets, receive digital tickets, and attend events. Avenue acts as a marketplace platform facilitating transactions between Users and is not the seller of event tickets unless expressly stated. Events are produced and ticket terms (including refunds) are set by Organizers.
2.2 Access
Certain parts of our Services are publicly accessible. Other features require registration, checkout contact information, or authentication.
2.3 Geographic Restrictions
The Services are based in the United States and intended primarily for use by persons located in the United States. If you access the Services from outside the United States, you are responsible for compliance with local laws.
3. Accounts, Eligibility, and Guest Checkout
3.1 Eligibility
You must be at least 18 years of age (or the applicable age of majority in your jurisdiction) to register for an Account, purchase tickets, or use the Services.
3.2 Registration and Account Security
When you register or provide information at checkout, you agree to provide accurate, current, and complete information. You are responsible for safeguarding your Account credentials. Notify us immediately at support@avenueticket.com if you suspect unauthorized use of your Account.
3.3 Guest Checkout
You may purchase tickets without creating an Account or completing a one-time passcode ("OTP") login first ("Guest Checkout"). To enable Guest Checkout, we create a temporary session and internal account identifier associated with your browser or device.
You must provide accurate contact information at checkout. You authorize us to use this information to fulfill your order, deliver tickets and receipts, communicate about the event, prevent fraud, and provide customer support.
By completing Guest Checkout and accepting these Terms at checkout, you agree that: (a) we may create or link an Account as described in Section 3.4; (b) your checkout contact details will be associated with your tickets and order history; and (c) you are authorized to use the email address and phone number you provide.
3.4 Account Creation and Linking After Payment
When your payment is successfully completed, we resolve who owns the purchase as follows:
(a) New account. If you do not already have an Avenue Account, we may create one using your checkout contact information and mark it verified based on successful payment ("Purchase Verification").
(b) Existing account. If an existing Avenue Account matches the phone number or email you provided (phone first, then email), we may attribute your purchase to that existing Account.
(c) Purchase Verification is not OTP login. To access your Account from a new device, sign in using OTP with the same email or phone used at checkout.
(d) Incomplete resolution. If we cannot safely assign a deliverable email address, your tickets remain tied to your checkout session and confirmation email. Contact support for help.
3.5 Accessing Tickets After Purchase
After checkout, you may access tickets via: (a) confirmation email and ticket links; (b) the device or browser used to purchase while your session is active; or (c) OTP login with the same email or phone from checkout.
3.6 Account Recovery and Merging
If you sign in with OTP using contact info that matches a prior Guest Checkout or purchase, we may merge ticket history and related data into your authenticated Account.
3.7 Abandoned Checkout
If you begin Guest Checkout but do not complete payment, we may delete or anonymize temporary data after approximately thirty (30) days, except where longer retention is required.
3.8 Unauthorized or Unexpected Accounts
If you believe an Account was created or linked without your authorization, contact privacy@avenueticket.com.
3.9 Account Termination
We may suspend or terminate your Account for violation of these Terms or other reasons permitted by law.
4. Organizer and Consumer Obligations
4.1 Organizer Responsibilities
Organizers must ensure event legality, provide accurate event details, comply with laws and refund policies, and honor tickets sold through the Services.
4.2 Consumer Responsibilities
Consumers must review event details and refund policies, provide accurate payment and contact information, and communicate with Organizers regarding event-specific concerns.
4.3 Ticket Transfers and Recipient Accounts
We may send transferred tickets to recipients and create an Account for them if they do not already have one.
4.4 Marketplace Platform
Avenue facilitates interactions between Users and is not liable for disputes arising from events or Organizer actions, except as required by law.
5. Payment, Fees, and Refunds
5.1 Payment Processing
Payments are processed through third-party providers (including Stripe).
5.2 Fees
Service fees are disclosed at checkout and are generally non-refundable unless required by law.
5.3 Refunds and Disputes
Refund eligibility is determined by the Organizer's refund policy disclosed for the event.
5.4 Chargebacks
We may share transaction details and checkout records (including terms acceptance timestamps) with payment processors to respond to disputes.
6. User Content and Intellectual Property
6.1 Your Content
You grant Avenue a license to use User Content to operate and improve the Services.
6.2 Feedback
Feedback may be used by Avenue without compensation.
6.3 Our Intellectual Property
Avenue Content is protected by intellectual property laws.
6.4 Copyright Policy and DMCA
Report infringement to support@avenueticket.com.
7. Privacy and Data Protection
7.1 Privacy Policy
Your use of the Services is governed by our Privacy Policy, including Guest Checkout data and authorized support access.
7.2 Organizer Data
When you purchase tickets, we share necessary information with the event Organizer.
7.3 Authorized Avenue Access
Authorized Avenue personnel may access Accounts, including by impersonation sessions. This includes Consumer (ticket buyer) Accounts and Organizer Accounts (including team member sessions). Access is logged and time-limited. Organizers cannot impersonate Consumers through consumer Services.
7.4 Security
We use industry-standard security measures, but no system is completely secure.
8. Prohibited Conduct
Users may not violate laws, engage in fraud, post harmful content, use unauthorized bots, reverse engineer the Services, send spam, impersonate others, or interfere with the Services.
9. Third-Party Links and Services
Third-party services are subject to their own terms and privacy policies.
10. Disclaimers and Limitation of Liability
10.1 Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
10.2 Limitation of Liability
OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF FEES PAID IN THE PRIOR SIX (6) MONTHS OR ONE HUNDRED DOLLARS ($100), TO THE EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to indemnify Avenue for claims arising from your use of the Services or breach of these Terms.
12. Dispute Resolution and Arbitration
12.1 Initial Dispute Resolution
Contact support@avenueticket.com within thirty (30) days before filing a claim.
12.2 Binding Arbitration
Disputes not resolved informally will be resolved by binding AAA arbitration in Delaware.
12.3 Class Action Waiver
DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS.
12.4 Opt-Out
Opt out within thirty (30) days by emailing support@avenueticket.com.
12.5 Exceptions
Either party may use small claims court or seek injunctive relief for IP violations.
13. Governing Law
Delaware law governs these Terms.
14. Assignment
You may not assign these Terms without our consent. Avenue may assign freely.
15. SMS and Communications
We may send transactional messages. Marketing SMS requires opt-in. Reply STOP to opt out.
